Negotiating Award Terms and Conditions

The Office of Grants and Contracts (OGC) coordinator may negotiate the terms and conditions of an award if the terms are not consistent with the requirements of an educational institution and the CSUF or ASC policies. OGC typically seeks changes in clauses related to governing law, indemnification and insurance to comply with university policies. OGC generally negotiates clauses that permit CSUF to retain the intellectual property developed under the agreement. In addition, the university protects academic freedom by ensuring a faculty member’s right to publish by asking for appropriate terms.

Depending on any special request or instructions by the Principal Investigator (via the “Buckslip”), OGC may negotiate additional terms including frequency of reporting, deliverables and deadlines, and other program-related provisions.

Note: The Office of Grants and Contracts team of skilled specialists may also draft an award agreement, if requested by the Sponsor. The OGC team also negotiates related bilateral agreements including, but not limited to, subcontracts, Memorandum of Understanding (MOU), Non-Disclosure Agreement (NDA), Material Transfer Agreement (MTA) and similar agreements as pertinent to a sponsored project.
